Website User Agreement

THIS WEBSITE USER AGREEMENT ("AGREEMENT") APPLIES TO ALL INDIVIDUALS WHO USE, VISIT OR BROWSE HTTPS://WWW.TIMZONE.COM (THE "WEBSITE"). IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE WEBSITE.

1. ACCESS

Access to the Website is password protected and is restricted to (a) the TDL Group Corp. (“TDLTDL”) and its employees; (b) TDLTDL affiliates and subsidiaries and their respective employees; (c) certain service providers of TDLTDL, including, but not limited to, advertising, promotional, internet, public relations and media-buying agencies; (d) TDL franchisees and subsidiaries and their employees; and (e) any other person or entity authorized by TDL (collectively, “Authorized Users”). Access will be automatically granted to employees of TDL and its subsidiaries, subject to each employee accepting the terms and conditions of this Agreement.

Each Authorized User referenced in items (c) - (e) above (“Third-Party Authorized User”) shall be responsible for assigning one (1) Administrator to monitor its use of the Website; provided, however, that, to the extent the Third Party Authorized User is a TDL franchisee, TDL may, upon granting access to the Website, designate the franchise operator as the Administrator responsible for monitoring the use of the Website by such franchisee and its employees. If the Third-Party Authorized User is a company, the Administrator for that company shall restrict access only to those employees of the company who clearly need access to the Website in order to perform a business, professional or technical support for the benefit of TDL or other agreed upon activity for or in conjunction with TDL. The Third-Party Authorized User shall insure that any and all user IDs and passwords issued to it or, as applicable, its employees are immediately terminated i) after separation of the employee from the Third-Party Authorized User; (ii) after termination of the Third Party Authorized User’s business, professional or other relationship with TDL; (iii) after completion of services by the Third-Party Authorized User to TDL; or (iv) in the event access to the Third-Party Authorized User or any of its employees are otherwise terminated by TDL in its sole discretion.

2. CONFIDENTIALITY

Authorized User understands and agrees that information submitted by TDL on the Website is confidential and consists of business plans, non-public advertising or promotional materials, non-public media schedules, strategies, or other information that is of a substantial value to TDL, the disclosure of which would substantially destroy the value of such information and thus cause irreparable harm to TDL. By using the Website, Authorized User agrees to maintain the secrecy and confidentiality of such information. Authorized User shall not disclose or grant access to the Website or its contents to any third party and shall use the same standard of care to protect such information as such Authorized User uses to protect its own confidential information, provided that such standard of care is at least reasonable.

3. RESTRICTIONS ON USE

Authorized User may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, sell or offer for sale any information contained on, or obtained from, the Website. Any use of the Website for personal, non-professional, or any other use that is not specifically related to business, professional or technical support for the benefit of TDL, or other activities directly requested by TDL or in furtherance of TDL’s interests, as determined by TDL, is prohibited and may result in termination of access, as well as other appropriate remedial action.

4. CONTENT SUBMITTED BY AUTHORIZED USERS

Authorized User may be allowed to post or upload comments, information, links, audio, photos, videos, or other materials (collectively, “Content”). Authorized User is responsible for such Content. Authorized User agrees to only post Content that Authorized User owns or has permission from the owner of the Content to post.

Authorized User understands and agrees that the Content: (a) will be shared among all users; (b) is not confidential or proprietary; and (c) will be attributable to the Authorized User without any expectation of anonymity. Other users and TDL will have access to information, ideas, concepts, graphics, photographs, copy, suggestions, know-how, or techniques contained in any Content posted by Authorized User (each, a “Submission”). Authorized User grants TDL a worldwide, royalty free, perpetual license, to use any Submissions for TDL’s business purposes, including, without limitation, developing, manufacturing and marketing products and creating, modifying or improving the Website.

Authorized User acknowledges and agrees that the information, materials and opinions expressed or included in any Content are not necessarily the opinion of TDL, its parent, affiliates, or subsidiaries. The official TDL position or opinion on a topic is issued solely through the TDL Communications department.

Authorized User acknowledges and agrees that TDL has the absolute right (but not the obligation) to monitor Content posted to the Website in its sole discretion. TDL reserves the right to alter, edit, refuse to post or remove any Content, in whole or in part, for any reason or for no reason, including, without limitation, if TDL believes that the Content falls into any of the Prohibited Activities described below.

5. PROHIBITED ACTIVITIES

Authorized User agrees not to use or access the Website for any of the following.

to violate any law, threaten or encourage bodily harm or destruction of property, commit fraud, or abuse, harass, embarrass, deceive, slander or defame others
to harm, or attempt to harm, any person in any way
to transmit or facilitate any unsolicited commercial bulk e-mail
to access, or to attempt to access without authority, the accounts of others, or to penetrate, or attempt to penetrate, security measures of TDL or another entity's computer software or hardware, electronic communications system, or telecommunications system
to impersonate another person or allow another person to use Authorized User’s account to post on, or access the Website
to infringe any copyright, trademark, patent, trade secret, or other proprietary rights of any third party
to collect, attempt to collect, or post personal information about third parties without their knowledge or consent
to intentionally distribute viruses, worms, Trojan horses, corrupted files, hoaxes or other destructive or deceptive material
to test or reverse-engineer the Website in order to find limitations, vulnerabilities or evade filtering capabilities
to alter, disable, or interfere with any aspect of the Website
to interfere with the use of the Website (or the equipment used to provide the Website content and services) by other users, including excessive consumption of network or system resources whether intentional or unintentional
to re-sell the functions or services performed through the Website

A statement that the information that you have supplied is accurate, and indicating that "under penalty of perjury," you are the copyright owner or are authorized to act on the copyright owner's behalf.

A signature or the electronic equivalent from the copyright holder or authorized representative.

In an effort to protect the rights of copyright owners, TDL maintains a policy for the termination, in appropriate circumstances, of Authorized Users of the Website who are repeat infringers.

10. INDEMNIFICATION

By using the Website, each Third-Party Authorized User accepts all responsibility for, and hereby indemnifies and holds harmless TDL, each of its related companies and affiliates, and each of their respective officers, directors, employees, shareholders, successors and assigns from and against any claims that may arise from actions taken by such Third-Party Authorized User and/or its employees on or in connection with the Website, including, but not limited to, any Content or other materials posted by Authorized User on the Website.

11. LIMITATION OF LIABILITY

THE ENTIRE LIABILITY OF TDL, ITS AGENTS, AFFILIATES, REPRESENTATIVES AND SERVICE PROVIDERS AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO ANY DISPUTE WITH RESPECT TO YOUR USE OF THE WEBSITE IS TO DISCONTINUE YOUR USE OF THE WEBSITE. TDL, AS WELL AS ITS SERVICE PROVIDERS, SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE WEBSITE OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE WEBSITE. THESE EXCLUSIONS FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, AND EXEMPLARY DAMAGES INCLUDE, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF TDL AND/OR ITS SERVICE PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, TDL AND/OR ITS SERVICE PROVIDER'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

10. GOVERNING LAW; VENUE

All issues and questions concerning the construction, validity, interpretation and enforceability of the this Agreement, or the rights and obligations of Authorized Users and TDL in connection with the Website, shall be governed by, and construed in accordance with, the laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the Province of Ontario. Any disputes arising out of this Agreement will be resolved exclusively in the courts located in Toronto, Ontario and each party consents to such exclusive jurisdiction and agrees not to challenge such venue.

13. SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Agreement, which will otherwise remain in full force and effect.

14. CONSTRUCTION

Authorized User acknowledges and agrees that this Agreement does not amend any other written agreements Authorized User may have with TDL. In the event of a conflict between the terms of or any obligations of Authorized User under this Agreement and any other written agreements between Authorized User and TDL, the terms of and obligations of Authorized User under the other written agreements with TDL shall prevail.

15. MODIFICATION

TDL may modify any of the terms and conditions of this Agreement at any time, with or without notice. An Authorized User’s continued use of the Website constitutes the Authorized User's acceptance of any changes to this Agreement. Authorized Users are responsible for remaining knowledgeable as to any changes that TDL may make to this Agreement. The most current version of this Agreement will be available on the Website and will supersede all previous versions.

16. REVOCATION OF ACCESS

TDL reserves the right to suspend or discontinue an Authorized User’s permission to use the Website in the event ( i) the Authorized User fails to comply with the terms and conditions of this Agreement and/or any other written agreement between Authorized User and TDL; and (ii) an Authorized User uses, or is suspected of using the Website in a manner inconsistent with any federal or state laws, statutes or ordinances. In addition to discontinuance of an Authorized User’s permission to use the Website, TDL shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

17. WAIVER

Any attempt by the Authorized User to undermine the legitimate operation of the Website may be a violation of criminal and civil law, and, should such an attempt be made, TDL reserves the right to seek damages from any such Authorized User to the fullest extent permitted by law. TDL's failure to enforce any of these terms and conditions shall not constitute a waiver of that, or any other provision.

Si l’utilisateur autorisé tiers est une société, l’administrateur pour cette société doit restreindre l’accès uniquement aux employés de la société qui ont manifestement besoin d’avoir un accès au site Web afin d’exécuter des fonctions de soutien commercial, professionnel ou technique pour le compte de TDL ou pour une autre activité pour TDL ou de concert avec elle. L’utilisateur autorisé tiers doit veiller à ce que tous les noms d’utilisateur et mots de passe qui lui ont été délivrés ou, selon le cas, à ses employés sont immédiatement annulés après la cessation d’emploi de l’employé auprès de l’utilisateur autorisé tiers; (ii) après la résiliation de la relation commerciale, professionnelle ou autre de l’utilisateur autorisé tiers avec TDL; (iii) après la réalisation des services rendus par l’utilisateur autorisé tiers à TDL; ou (iv) dans l’éventualité de la révocation par ailleurs de l’accès de l’utilisateur autorisé tiers ou de l’un de ses employés par TDL à son appréciation exclusive.

2. CONFIDENTIALITÉ

L’utilisateur autorisé comprend et convient que les renseignements affichés par TDL sur le site Web sont confidentiels et consistent en des plans d’affaires, de la documentation de publicité ou de promotion non publique, d’échéanciers médias non publics, de stratégies ou d’autres renseignements d’une valeur considérable pour TDL et dont la communication détruirait pour l’essentiel la valeur de ces renseignements et causerait par conséquent un préjudice irréparable à TDL. En utilisant le site Web, l’utilisateur autorisé convient de préserver le caractère secret et la confidentialité de ces renseignements. L’utilisateur autorisé ne saurait donner à un tiers accès au site Web ni lui en communiquer le contenu et il doit avoir recours à la même norme de diligence afin de protéger ces renseignements dont fait preuve l’utilisateur autorisé afin de protéger ses propres renseignements confidentiels, à la condition que cette norme de diligence soit au moins raisonnable.

3. RESTRICTIONS APPLICABLES À L’UTILISATION

L’utilisateur autorisé ne peut modifier, copier, diffuser, transmettre, afficher, exécuter, reproduire, publier, accorder en licence, transférer, vendre ou offrir en vente des renseignements figurant sur le site Web ou obtenus de celui-ci, ni en créer des œuvres dérivées. L’utilisateur autorisé est responsable de ce contenu. L’utilisateur autorisé convient de n’afficher que du contenu dont l’utilisateur autorisé est propriétaire ou qu’il a le droit d’afficher en vertu d’une autorisation reçue du propriétaire du contenu.

L’utilisateur autorisé comprend et convient que le contenu : a) sera partagé parmi tous les utilisateurs; b) n’est pas confidentiel ou exclusif; et c) sera attribuable à l’utilisateur autorisé sans aucune attente d’anonymat. 5. ACTIVITÉS INTERDITES

blesser ou tenter de blesser une personne de quelque manière que ce soit
transmettre ou favoriser un courriel commercial non sollicité en vrac
accéder ou tenter d’accéder sans autorisation aux comptes de tiers ou pénétrer ou tenter de pénétrer les dispositifs de sécurité mis en place par TDL ou les logiciels ou le matériel informatique, le système de communications électroniques ou le système de télécommunications d’une autre entité
usurper l’identité d’une autre personne ou permettre à une autre personne d’utiliser le compte de l’utilisateur autorisé pour afficher des publications sur le site Web ou y accéder
contrefaire un droit d’auteur, une marque de commerce, un brevet, un secret commercial ou d’autres droits exclusifs d’un tiers
recueillir ou tenter de recueillir ou afficher des renseignements personnels au sujet de tiers à leur insu ou sans leur consentement
diffuser délibérément des virus, des vers, des chevaux de Troie, des fichiers corrompus, des canulars ou d’autres éléments destructeurs ou trompeurs
mettre à l’épreuve le site Web ou procéder à sa rétroingénierie afin de découvrir des limitations ou des vulnérabilités ou d’éviter les capacités de filtrage
modifier, désactiver ou entraver tout aspect du site Web
nuire à l’utilisation du site Web (ou du matériel utilisé pour fournir le site Web, le contenu et les services) par d’autres utilisateurs, y compris la consommation excessive des ressources du réseau ou des systèmes, délibérément ou non
revendre les fonctions ou services exécutés par l’intermédiaire du site Web

10. INDEMNISATION

En utilisant le site Web, chaque utilisateur autorisé tiers accepte l’ensemble de la responsabilité, et accorde par les présentes une indemnisation à TDL, à chacune de ses sociétés connexes et membres du même groupe et à chacun de leurs dirigeants, administrateurs, employés, actionnaires, successeurs, ayants cause et ayants droit respectifs à l’égard de toutes les réclamations qui peuvent découler de mesures prises par cet utilisateur autorisé tiers et/ou ses employés sur le site Web ou en rapport avec celui-ci, y compris, mais sans s’y limiter, tout élément de contenu ou autres éléments affichés par l’utilisateur autorisé sur le site Web.

11. LIMITATION DE RESPONSABILITÉ

LA RESPONSABILITÉ INTÉGRALE DE TDL, DE SES MANDATAIRES, MEMBRES DU MÊME GROUPE, REPRÉSENTANTS ET FOURNISSEURS DE SERVICES, ET VOTRE RECOURS EXCLUSIF À L’ÉGARD DE TOUT DIFFÉREND CONCERNANT VOTRE UTILISATION DU SITE WEB, SE LIMITE À LA CESSATION DE VOTRE UTILISATION DU SITE WEB. ÉTANT DONNÉ QUE CERTAINS ÉTATS OU TERRITOIRES NE PERMETTENT PAS L’EXCLUSION OU LA LIMITATION DE RESPONSABILITÉ POUR LES DOMMAGES-INTÉRÊTS CONSÉCUTIFS OU ACCESSOIRES, DANS CES ÉTATS OU TERRITOIRES, LA RESPONSABILITÉ DE TDL ET/OU DE SES FOURNISSEURS DE SERVICES SE LIMITE À LA MESURE AUTORISÉE PAR LA LOI.

10. DROIT APPLICABLE; TRIBUNAL COMPÉTENT

Toutes les questions concernant l’interprétation, la validité et le caractère exécutoire de la présente convention, ou les droits et obligations des utilisateurs autorisés et de TDL en rapport avec le site Web, sont régies par les lois de la province de l’Ontario et interprétées selon celles-ci, sans tenir compte des règles ou des dispositions en matière de choix de la loi applicable ou de conflits de lois qui donneraient lieu à l’application des lois d’un territoire autre que la province de l’Ontario. Tous les différends découlant de la présente convention sont tranchés exclusivement par les tribunaux situés à Toronto, en Ontario, et chaque partie s’en remet à cette compétence exclusive et convient de ne pas s’y opposer.

13. AUTONOMIE DES DISPOSITIONS

Si une disposition de la présente convention était jugée invalide ou non exécutoire par un tribunal compétent, cette disposition doit être disjointe du reste de la présente convention, laquelle demeure par ailleurs pleinement en vigueur et produit tous ses effets.

14. INTERPRÉTATION

L’utilisateur autorisé reconnaît et convient que la présente convention ne modifie aucune autre entente écrite que l’utilisateur autorisé peut avoir conclue avec TDL. En cas de conflit entre les modalités de la présente convention ou les obligations incombant à l’utilisateur autorisé aux termes de la présente convention et toute autre entente écrite intervenue entre l’utilisateur autorisé et TDL, les modalités de cette autre entente écrite et les obligations incombant à l’utilisateur autorisé aux termes de cette autre entente écrite conclue avec TDL ont préséance.

15. MODIFICATION

TDL peut modifier toutes les modalités et conditions de la présente convention à tout moment donné, et ce, avec ou sans préavis. L’utilisation continue par l’utilisateur autorisé du site Web constitue l’acceptation par l’utilisateur autorisé de toutes modifications apportées à la présente convention. Les utilisateurs autorisés sont responsables de rester à l’affût de toutes modifications que TDL peut apporter à la présente convention. La version la plus actuelle de la présente convention est accessible sur le site Web et l’emporte sur toutes les versions antérieures.

16. RÉVOCATION DE L’ACCÈS

TDL se réserve le droit de suspendre ou de révoquer l’autorisation d’un utilisateur autorisé d’utiliser le site Web dans les cas suivants : i) l’utilisateur autorisé omet de se conformer aux modalités et conditions de la présente convention et/ou de toute autre entente écrite intervenue entre l’utilisateur autorisé et TDL; et (ii) un utilisateur autorisé utilise, ou est soupçonné d’utiliser, le site Web d’une manière incompatible avec des lois, textes de lois ou décrets fédéraux ou étatiques. En plus de la révocation de l’autorisation d’un utilisateur autorisé d’utiliser le site Web, TDL a le droit de prendre toutes mesures administratives et/ou juridiques indiquées, y compris intenter des poursuites criminelles, selon ce qu’elle juge nécessaire à son appréciation exclusive.

17. RENONCIATION

Toute tentative par l’utilisateur autorisé de compromettre le fonctionnement légitime du site Web peut constituer une violation des lois criminelles et civiles, et, si une telle tentative est faite, TDL se réserve le droit de solliciter des dommages-intérêts auprès de cet utilisateur autorisé dans la pleine mesure autorisée par la loi. L’omission de la part de TDL de faire valoir l’une des présentes modalités et conditions ne saurait constituer une renonciation à cette disposition ou à toute autre disposition.
